These Terms And Conditions govern your use of the Mushroom Productions website ("the Website") and the services offered by Mushroom Productions (Pty) Ltd ("the Company", "we", "us", or "our"). Mushroom Productions is a full-service event production company headquartered in Johannesburg, South Africa, with operations across the African continent. These Terms apply to all visitors, users, and clients who access or use our Website or engage our services.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Website. Your continued use of the Website following the posting of revised Terms constitutes your acceptance of those changes.

2. Services

Mushroom Productions provides end-to-end event production services, including but not limited to concert and festival production, corporate event management, brand activations, sports event production, live streaming and broadcast services, venue sourcing, technical production (sound, lighting, rigging, staging), and related creative and logistical services.

All service engagements are subject to separate written agreements, proposals, and quotations. The information presented on this Website is for general informational purposes only and does not constitute a binding offer to provide services.

We reserve the right to refuse service to any party at our sole discretion, including where a proposed event or activation falls outside our operational capabilities, conflicts with existing commitments, or raises health, safety, or reputational concerns.

3. Intellectual Property

All content on this Website, including text, images, graphics, logos, videos, case studies, and design elements, is the property of Mushroom Productions or its licensors and is protected by South African and international copyright, trademark, and other intellectual property laws.

You may view, download, and print content from the Website for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content without our prior written consent.

The Mushroom Productions name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Mushroom Productions. You must not use such marks without the prior written permission of the Company.

Client-specific content, including event photography, broadcast footage, and branded materials, remains subject to the terms of the applicable service agreement. Unless otherwise agreed in writing, Mushroom Productions retains the right to use anonymised or publicly visible event imagery for portfolio, marketing, and promotional purposes.

4. Website Use And Conduct

You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit the use and enjoyment of the Website by any third party.

You must not use the Website in any way that causes, or may cause, damage to the Website or impairment of the availability or accessibility of the Website. You must not use the Website to copy, store, host, transmit, send, use, publish, or distribute any material which consists of malicious computer software.

You must not conduct any systematic or automated data collection activities (including scraping, data mining, data extraction, and data harvesting) on or in relation to the Website without our express written consent.

5. Quotations, Bookings, And Payment

All quotations provided by Mushroom Productions are valid for the period specified in the quotation document and are subject to availability of personnel, equipment, and venues at the time of booking confirmation.

A confirmed booking requires the signing of a service agreement and payment of any deposit as specified in the quotation. Until these conditions are met, no commitment of resources is made.

Payment terms are as specified in the service agreement. Late payments may incur interest at the rate prescribed by the National Credit Act or as otherwise agreed. The Company reserves the right to suspend work or withdraw from an event where payment obligations are not met.

Cancellation and postponement terms are detailed in the service agreement. Deposits are generally non-refundable, though specific terms may vary depending on the nature and scale of the production.

6. Limitation Of Liability

To the fullest extent permitted by applicable law, Mushroom Productions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Website or our services.

Our total liability to you for all claims arising from or relating to the Website or any service agreement shall not exceed the total amount paid by you to Mushroom Productions under the relevant agreement in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under South African law.

Event production involves inherent risks, including but not limited to weather-related disruptions, venue restrictions, supplier failures, and force majeure events. While we exercise professional diligence in all productions, we cannot guarantee outcomes that are outside our reasonable control.

7. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under any service agreement where such failure or delay results from events or circumstances outside its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government action, pandemic, labour disputes, failure of utilities or transport, or extreme weather conditions.

In the event of force majeure, the parties will consult in good faith to agree on alternative arrangements, postponement, or termination with equitable adjustment of fees where work has already been performed or non-recoverable costs incurred.

8. Third-Party Links

The Website may contain links to third-party websites or resources. These links are provided for your convenience only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.

The inclusion of any link does not imply endorsement by Mushroom Productions of the linked site or resource.

9. Governing Law And Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of South Africa.

Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa. We may also seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.
